By registering, accessing, or using Mergen Systems, you explicitly represent and warrant that you are at least 18 years of age (or the legal age of majority in your jurisdiction) and possess the legal capacity to form a binding contract. If you do not meet these requirements, you must not access the platform. Your continued use constitutes a legally binding agreement to these terms.
Mergen Systems provides a technical software platform for algorithmic trading, including Strategy Builder and Smart Trade execution. The software is provided on an "AS IS" and "AS AVAILABLE" basis, without any warranties, express or implied. We do not guarantee continuous, uninterrupted, or secure access to our services, and operation may be interfered with by numerous factors outside our control.
Mergen Systems is strictly a technological intermediary, not a broker, exchange, or financial advisor. We route your automated orders to third-party exchanges via the API keys you provide. Mergen Systems accepts ZERO liability for execution latency, exchange API network errors, missed signals, or any erroneous Take Profit (TP), Stop Loss (SL), or Profit and Loss (PnL) outcomes. The user assumes all risks associated with API connectivity.
To the maximum extent permitted by applicable law, Mergen Systems shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill. Furthermore, Mergen Systems holds zero liability for Force Majeure events (e.g., global exchange bankruptcies, API provider outages, stablecoin de-pegging, cyber-attacks). In any event of system outage or financial loss, the platform's total cumulative liability is strictly limited to the subscription fee paid by the user in the preceding month.
You agree to indemnify, defend, and hold harmless Mergen Systems, its affiliates, directors, and employees from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Platform, including, but not limited to, your trading activities and strategies.
When subscribing to strategies, you acknowledge that the creator and Mergen Systems bear no responsibility for any financial losses. Every backtest relies strictly on historical data and cannot predict future movements. Algorithmic trading provides statistical foresight, not certainties. There is absolutely no guarantee of net profit or consistent returns.
Any dispute, controversy, or claim arising out of or relating to this platform shall be settled by binding individual arbitration rather than in court. By agreeing to these Terms, you explicitly waive your right to participate in any class-action lawsuit or class-wide arbitration against Mergen Systems or its affiliates.
We reserve the right to suspend or terminate your account immediately if you violate these terms. To comply with AML/KYC laws or automated safety protocols (Kill-Switch), the Platform reserves the right to immediately close all open positions at the market price via API or downgrade permissions to read-only. Users are solely responsible for declaring their taxes and complying with CRS/FATCA reporting in their jurisdictions.
